Asset Tracing and Reunification Programme

Mitie Group plc (“Mitie”) has appointed AssetTrace+ to support an asset tracing and reunification exercise for shareholders who may have become disconnected from their shareholding and have unclaimed dividends.

Shareholders can become disconnected with Mitie for a variety of reasons, including changes to personal circumstances, outdated address or bank details, or where an estate’s beneficiaries or executors are not aware of the shareholding.

The programme is intended to identify eligible shareholders and help return any unclaimed assets to them. AssetTrace+ will contact shareholders where Mitie’s records show unclaimed dividends.

If you have received a letter from AssetTrace+, please follow the steps set out in it.

An entitlement may be due where dividend cheques sent by Mitie were returned, not cashed, or where payments have been held because no payment mandate has been provided since cheques were withdrawn. Mitie has asked AssetTrace+ to trace and assist shareholders, or their legal representatives, so that any unpaid amounts can be claimed where appropriate.

Mitie’s Articles of Association permit the forfeiture of unclaimed dividend payments that were declared six or more years ago, and which remain unclaimed. Therefore, if you do not respond by the deadline specified in the claim letter, outstanding dividend proceeds over this period may be forfeited and returned to Mitie.

AssetTrace+ is operated by MUFG Corporate Markets, Mitie’s registrar. It specialises in helping shareholders, former shareholders and their legal representatives recover unclaimed assets linked to shareholdings.

AssetTrace+ will only contact an address where it reasonably believes the shareholder, or their legal representative, is now based. Our aim is to make the claim process as simple and straightforward as possible. Please follow the instructions in the letter by claiming online or, if requested, returning the completed form and supporting documents to AssetTrace+.

Under Mitie’s Articles of Association, shares held by an untraced shareholder may be sold in certain circumstances. This may apply where, in the six years before the relevant notice is sent, at least three dividends have become payable on the shares, no dividend has been claimed, and the Company has made reasonable efforts to trace the shareholder.

If the shareholder does not respond within three months of the notice being sent, the shares may be sold. After costs are deducted, the net sale proceeds are forfeited by the shareholder and belong to the Company

Dividend Cheques

In line with the approach taken in recent years by other UK listed companies, the Company intends to cease issuing cheques for dividend payments with effect from August 2026. The move to chequeless dividends will mean increased efficiency and security for shareholders and will lessen the Company’s environmental impact by reducing paper communications.
